1. Introduction

Welcome to NoRug Labs (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the noruglab.com website, the Unruggable smart contract vault platform, the token factory, and all related tools, interfaces, and services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Important: The Platform interacts with public blockchain networks. Transactions on blockchains are irreversible. You are solely responsible for your use of the Platform and any consequences thereof.

2. What We Provide

NoRug Labs provides software tools for interacting with blockchain smart contracts, including but not limited to:

  • SmartVault: A smart contract deployment tool that allows token creators to lock tokens behind mathematical conditions. The vault uses a logarithmic formula to calculate maximum release percentages based on lock duration and price increase targets, rewarding balanced commitments and penalizing attempts to game the system.
  • FairLaunchToken: An ERC-20 token factory with optional anti-whale protection. Creators can enable a configurable window (default 24 hours) during which no single wallet can hold more than a set percentage of total supply (default 3%). This includes the creator. After the window expires, the cap is permanently removed.
  • Token Factory: A smart contract deployment tool that allows users to create ERC-20 tokens on supported blockchain networks.
  • Liquidity Tools: Interfaces for interacting with decentralized exchange protocols.
  • Airdrop Tool: A batch transfer interface for distributing tokens to multiple recipients.

We are a software infrastructure provider, not a financial service. We do not:

  • Hold, custody, or control user funds or tokens
  • Execute trades or facilitate exchanges
  • Provide investment advice, recommendations, or endorsements
  • Vet, audit, or guarantee any token created through our Platform
  • Operate as a money transmitter, exchange, or trust company

3. Non-Custodial Nature

The Platform is entirely non-custodial. You retain full control of your private keys and digital assets at all times. Smart contracts deployed through the Platform execute autonomously on the blockchain. NoRug Labs cannot:

  • Access, recover, or return funds sent to smart contracts
  • Reverse blockchain transactions
  • Intervene in or modify smart contract behavior after deployment
  • Recover lost private keys or wallet credentials

You are solely responsible for safeguarding your wallet credentials and private keys.

4. Platform Fees

We charge flat fees for certain Platform services, payable in the native currency of the relevant blockchain network (e.g., ETH on Ethereum):

  • Vault Deployment: 0.05 ETH per vault
  • Token Creation: 0.01 ETH per token

Fees are collected at the time of deployment via the smart contract and are non-refundable. Fee amounts are subject to change with notice. In addition to our fees, you are responsible for all blockchain network (“gas”) fees associated with your transactions.

4.1 Token Supply Allocation

When you create a token through the Platform, 2% of the total token supply is automatically allocated to the NoRug Lab treasury. This allocation is executed at the smart contract level during token creation and is non-negotiable.

The treasury tokens are locked in the same SmartVault structure as creator tokens, subject to identical mathematical release conditions. This ensures alignment of incentives: we drink from the same river. NoRug Labs cannot access, sell, or transfer treasury tokens any faster than the token creator can access their own locked supply. The same logarithmic formula that governs creator releases governs ours.

This 2% treasury allocation funds ongoing Platform development, security audits, infrastructure, and community initiatives. It is not a hidden fee — it is transparent, on-chain, and verifiable by anyone.

5. User Responsibilities

By using the Platform, you represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction)
  • You have the legal capacity to enter into these Terms
  • Your use of the Platform complies with all applicable laws and regulations in your jurisdiction
  • You are not located in, under the control of, or a national or resident of any country subject to United States embargo or sanctions
  • You are not listed on any U.S. government list of prohibited or restricted parties

You agree that you will not use the Platform to:

  • Create, deploy, or promote tokens that constitute unregistered securities, fraudulent schemes, or illegal activities
  • Engage in market manipulation, wash trading, or other deceptive practices
  • Violate any applicable law, regulation, or third-party right
  • Upload malicious code, attempt to hack or disrupt the Platform, or interfere with its operation

6. No Endorsement or Vetting

NoRug Labs does not review, vet, endorse, or recommend any token, project, or creator that uses our Platform. The existence of a token on our Platform, the display of token information, or the presence of any score, badge, or label (including the Strategy Score) does not constitute:

  • An endorsement of the token or its creators
  • A guarantee of the token’s value, legitimacy, or safety
  • A representation that the token complies with securities or other laws
  • Investment advice or a recommendation to purchase

All tokens involve risk. You should conduct your own research before interacting with any token or smart contract.

7. Smart Contract Risks

Smart contracts deployed through the Platform are provided on an “as-is” basis. Blockchain technology and smart contracts involve inherent risks, including but not limited to:

  • Bugs, vulnerabilities, or flaws in smart contract code
  • Blockchain network congestion, forks, or failures
  • Front-running, sandwich attacks, or other MEV-related risks
  • Regulatory changes affecting blockchain technology or digital assets
  • Loss of funds due to user error, phishing, or security breaches

You assume all risks associated with your use of the Platform and interaction with blockchain networks.

8. Intellectual Property

The Platform, including its code, design, text, graphics, and logos, is owned by NoRug Labs and protected by intellectual property laws. Smart contract bytecode deployed to public blockchains is publicly visible and verifiable on-chain.

You retain all rights to any tokens you create using the Platform. By using the Platform, you grant us a limited license to display information about your token (name, symbol, contract address, deployment data) on the Platform.

8.1 Your IP Warranty

By creating, deploying, or promoting a token through the Platform, you represent and warrant that:

  • You own or have a valid license to all intellectual property used in connection with your token, including but not limited to its name, symbol, logo, branding, artwork, and any associated content (collectively, “Token IP”);
  • Your Token IP does not infringe, misappropriate, or violate any third party’s copyright, trademark, trade dress, right of publicity, or other intellectual property rights;
  • Your token name and symbol do not falsely suggest affiliation with, endorsement by, or sponsorship from any person, brand, or entity without authorization.

You are solely responsible for ensuring your Token IP is lawful and non-infringing. NoRug Labs does not pre-screen, vet, or approve token names, symbols, or branding. The presence of a duplicate name scanner or trademark warning on the Platform is a courtesy tool only and does not constitute legal advice or a guarantee of availability.

8.2 IP Indemnification

You agree to indemnify, defend, and hold harmless NoRug Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Any claim that your Token IP infringes a third party’s intellectual property rights;
  • Any claim that your token, its name, symbol, or branding violates any law or regulation;
  • Any DMCA takedown notice, cease-and-desist letter, or legal demand related to your token.

This indemnification obligation survives any termination of these Terms or your use of the Platform.

8.3 DMCA / Copyright Takedown Procedure

NoRug Labs respects the intellectual property rights of others and expects users to do the same. If you believe that any content or token on the Platform infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing the following information in writing:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the material that is claimed to be infringing, including the token name, symbol, contract address, and any specific URLs on the Platform where the material appears;
  4. Your contact information, including name, address, telephone number, and email address;
  5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Upon receipt of a valid DMCA notice, NoRug Labs will:

  • Promptly investigate the claim;
  • Remove or disable access to the allegedly infringing material on the Platform;
  • Notify the token creator of the takedown and provide them an opportunity to submit a counter-notification;
  • Take appropriate action under the DMCA and our policies.

8.4 Right to Delist and Freeze

NoRug Labs reserves the right, in its sole discretion, to take any of the following actions with respect to any token deployed through the Platform:

  • Delist: Remove the token from display on noruglab.com, including its token page, discovery listings, and all Platform interfaces;
  • Flag: Add a visible warning or label to the token’s page indicating that it is subject to an IP dispute, legal claim, or other concern;
  • Freeze Platform Interactions: Disable or restrict the token’s interaction with Platform-hosted interfaces (such as the release dashboard or airdrop tool), to the extent technically feasible.

These actions may be taken in response to, but are not limited to:

  • Receipt of a valid DMCA takedown notice or other credible IP infringement claim;
  • A court order, injunction, or other legal directive;
  • Evidence that the token is being used for fraud, scams, or illegal activity;
  • A good-faith determination that the token’s name, symbol, or branding creates a substantial risk of consumer confusion or legal liability for NoRug Labs.

Important: NoRug Labs cannot freeze, seize, or control tokens or smart contracts on the blockchain itself. Smart contracts deployed to public blockchains are autonomous and immutable. “Freezing” refers solely to actions within the Platform’s interfaces and does not affect on-chain token transfers, trading, or smart contract execution. The underlying smart contracts continue to operate independently of noruglab.com.

9. Third-Party Services

The Platform may integrate with or display information from third-party services, including but not limited to blockchain networks (Ethereum, Base, Solana, etc.), decentralized exchanges (Uniswap, etc.), data providers (DEX Screener, etc.), and wallet providers (MetaMask, etc.).

We do not control these third-party services and are not responsible for their availability, accuracy, or security. Your use of third-party services is subject to their respective terms and policies.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

NO ADVICE OR INFORMATION OBTAINED FROM US, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORUG LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Platform
  • Any conduct or content of any third party on the Platform
  • Unauthorized access, use, or alteration of your transmissions or content
  • Bugs, vulnerabilities, or failures in smart contracts
  • Any other matter relating to the Platform

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless NoRug Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, your violation of these Terms, your violation of any law or third-party right, or any token you create, deploy, or promote using the Platform.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Clark County, Nevada.

14. Changes to These Terms

We may modify these Terms at any time. We will post the updated Terms on the Platform and update the “Last Updated” date. Your continued use of the Platform after any changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Platform.
